1. Event Duration and Enrolment

From Oct. 01^st – Nov. 30^th, 2021, participants (“You, “Your”, as applicable) may enroll in the MSI “Diwali 2021- PC Components & Peripherals Deal” promotion (“Event”) – while supplies last. To enter, You must complete the following steps:

• 1. Subject to full compliance with these terms and conditions (“Terms and Conditions”), purchase one (1) new and eligible MSI product (see eligible model chart below) from participating MSI partners. EACH ELIGIBLE PRODUCT CAN ONLY BE REGISTERED AND USED FOR A REDEMPTION ONCE.
  2. Participants may register and make up to a maximum of seven (7) redemptions in total for each eligible product category (i.e. Motherboard, Casing, Liquid Cooler, Gaming Keyboard, Gaming Mouse, Gaming Headset, and Gaming Chair. All registration and redemption must be completed between Oct. 01^st and Dec. 14^th, 2021. Event registration will automatically be closed if the Event ends earlier due to stocks being depleted
  3. Go to the product registration page and register your eligible product by selecting the product line and the “Happy Diwali 2021 - Components & Peripherals Deal” promotion. You will need to sign up for a new MSI Member account at https://account.msi.com/login if You have not previously registered. Event registration will automatically be closed if the Event ends earlier due to stocks being depleted – you will be notified when trying to register.
  4. Provide a copy of Your proof of purchase for MSI verification. Documentation must include the picture of the model serial number label on the product, Invoice with MSI model name, date, and shop/vendor name. The invoice date must be between Sept. 15^th – Nov. 30^th, 2021. If necessary, MSI may ask You provide a cutout of the product color box showing the serial numbers.
  5. Agree to the Event Terms and Conditions and await MSI review. If MSI determines You meet all eligibility criteria, the digital voucher (see below) will be sent to Your registered email address. Verification may take up to 14 business days. Incomplete Event registration information may result in additional processing time of up to fourteen (14) business days if You are required to provide additional information. MSI reserves the right to verify, approve, or deny submissions in its sole discretion if Event registration is incomplete, not provided within seven (7) days of MSI’s request, or provided after the Event registration period.
  6. Applicable digital code(s) must be redeemed on or before Dec. 31^st, 2021. Please contact MSI customer service if You are unable to redeem the digital code before the listed deadline.
  7. Digital code/voucher values vary subject to each eligible product model; actual values will vary due to automatic conversion into local currency based on the applicable conversion rate on the actual redemption day.
  8. If the registered MSI product is being returned or refunded, You must notify MSI in writing, and the promotion application will be withdrawn automatically without further notice. MSI reserves the right to ask the applicants for the return of redemption items earned from products returned or refunded within fourteen (14) days of Event registration.

  2. Eligible Regions: India
  3. This Event is only for eligible end user consumers and not businesses. MSI, MSI affiliates, subsidiary, manufacturer, business partner, distributor, wholesaler, reseller, retailer, i-Cafe, or agency employees and their immediate families are not eligible to participate in this Event.
  4. MSI retains the right to make adjustments of these terms without prior notice subject to any directions from a regulatory authority.
  5. Participants must be at least 18 years old. Void where prohibited or restricted by law.
  6. Automated or robotic entries submitted by individuals or organizations will be disqualified. Entry must be made by the participant. Any attempt by a participant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, logins or any other methods will void that participant's entry and may result in immediate disqualification.
  7. Each eligible product only grants one (1) redemption. Redemption must be made in the country where the eligible product was purchased. Cross region and/or country redemption(s) shall be strictly prohibited.

Sweepstakes ("Gleam Competition", "Event")

Event Duration and Enrollment: From Oct. 1^st – Nov. 15^th, 2021, participants (“You, “Your”, as applicable) may enroll in the "MSI Diwali Gleam Competition” (“Event”). There are multiple rewards available - You must meet and complete the steps below to earn rewards

• 1. You must be at least 18 years old and of legal age to participate. You must provide the entry information requested. Each participant is limited to forty six (46) Gleam entries. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent these terms and conditions (“Terms and Conditions”). Your submission may be disqualified at the sole discretion of MSI if you use fraudulent methods, automated means, or otherwise attempt to circumvent the rules of the Event or make submission(s) before or after the Event entry period. All entries must be submitted by the end of the Event period in order to participate. MSI’s database clock will be the official time keeper for this Event. For all participants, this Event is free to enter for a chance to win the draw prize by writing a request to MSI and mailing this request to MSI’s Taiwan office, Micro-Star Int’l Co., Ltd., located at No.69 Lide Street, Zhonghe Dist., Postal Code 23584, New Taipei City, Taiwan. Participant’s written request must be legible to be accepted, and must include participant’s full name, a valid mailing address (NO P.O. BOX), phone number and any email address to allow MSI to verify the participant, and the name of the Event. Only one entry will be permitted per participant. MSI will also use the contact information provided in the entry to contact the participant, as appropriate
  2. This Event is available to residents of India. The Event is void where prohibited by law. The Event is subject to all applicable federal, state, and local laws and regulations.
  3. The winners of the Event will be selected in a random drawing from among all eligible entries received throughout the Event Period. The random drawing will be processed on Nov. 15th, 2021. MSI will select a total of 13 winners. Only one prize per person and per household will be awarded. There are one(1) prize for the Apple Watch SE, and one(1) prize for the external SSD, and one(1) prize for the WIFI UPS, and ten(10) prizes for the Steam Wallet (worth USD$20 each). The average retail value of the prize represents MSI's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated average retail value, the difference will not be awarded in cash.
  4. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the Winner. MSI makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. MSI will not replace any lost or stolen prize items. The risk is transferred to the winner when the prize is handed over to a postal delivery service. MSI shall not be responsible for delivery damages.
  5. Winners of the prize draw will be announced on the Event landing page. Each individual winner will be notified within one (1) month of the draw. MSI will contact each winner to confirm delivery information such as name, address (no PO Boxes), and phone number. If a winner does not respond to MSI’s notice within seven (7) workdays, the prize will be deemed forfeited and MSI will randomly select a new winner. Physical prizes may take up to eight (8) weeks or more to be delivered due to customs clearance. MSI shall not be liable for any loss or delays resulting from incorrect or missing information provided. MSI shall have no liability for a Winner's failure to receive notices due to spam, junk e-mail or other security settings or for a Winner’s provision of incorrect or otherwise non-functioning contact information.
  6. All prizes are not transferable, substitution, or redeemable for cash or any other goods. If a prize becomes unavailable due to circumstances beyond MSI’s reasonable control, MSI may, at its sole discretion, adjust the prize content by replacing the prize with another product of equivalent value.
  7. All prizes are not provided with any warranty.
  8. You will be deemed to have accepted these Terms if You partake in any one or more actions required to earn a Reward in the steps above, or if You select the “I Agree to these Terms and Conditions” or similarly titled check box.
  9. A violation of these Terms and Conditions entitles MSI to exclude the respective participant from participation. This applies in particular, without limiting any other part of these Terms and Conditions, if the participant submits false statements or violates applicable law or the rights of third parties. The same applies to comments that may be considered glorifying violence, offensive, harassing or degrading, or that otherwise violate social decency. In the event that the excluded participant is a winner who has already been drawn, MSI reserves the right to subsequently withdraw the prize.
  10. Early termination and amendments: MSI reserves the right to prematurely terminate the Event in whole or in part without reason at any time or to change its course if it is not possible to guarantee the proper execution of the Event for technical (e.g. computer virus, manipulation of or errors in software/hardware), legal or other reasons (e.g. prohibition by a government agency or online platform).
  11. By making a submission (“Submission”), you agree to the following: i) You hereby grant MSI, its affiliates, subsidiaries, and their respective officer, directors, employees, and agents a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully sublicensable right to adapt, distribute, modify, publish, publicly display reproduce, translate, create derivative works from, or otherwise use any works you submit under this Event, in whole or in part, in any form, medium, or technology, whether now known or hereafter developed, for promotional and other legal purposes reasonably determined by MSI. To the extent the foregoing license is not permitted by applicable law, you agree not to, and shall procure the same from all contributors or sources to your Submission as applicable, assert any moral rights or any claims against MSI and its sublicensees for any uses of the Submission pursuant to this license grant; ii) You represent and warrant that: (a) you have the full capacity and right to enter into this Terms and Conditions and be bound by it; (b) all information provided by you to MSI is true, accurate, and not misleading; (c) you own or otherwise control the rights to your Submission and any and all elements thereof, including without limitation, all applicable approvals, consents, permissions, and waivers necessary to grant the license to MSI free and clear of any third party claims or additional charges, licenses, payments, or royalties; (d) you have obtained all required consents, permissions and image/appearance releases from any individuals, groups, parties or locations featured in the Submission have provided full consent and permission to their inclusion (including images and/or appearances) in the Submission, so that you are able to grant the rights specified in these Terms and Conditions (f) Your Submission does not infringe or violate any and all applicable laws, or the rights of any third parties, including, but not limited to, intellectual property rights, publicity and privacy rights, or trade secrets; (g) all facts expressed by you in the Submission are, to the best of your knowledge and belief, true and insofar as the Submission contains any opinions, these opinions are your own and are genuinely and truly held by you; and (h) you have used your reasonable endeavours to ensure that the Submission does not contain any viruses or malware.
  12. MSI retains the right to make adjustments of these Terms and Conditions without prior notice subject to any directions from a regulatory authority. MSI may, at its discretion, disqualify participants who do not meet or violate these terms.
  13. MSI employees, distributors, business partners, and their relatives are not eligible to participate in this Event.

We may ask You for information during the Event enrolment and product registration process that may, as applicable, include without limitation Your email, name, product serial number, redemption code, purchase information, and other voluntary information You provide. In addition, we may indirectly gather information from you via cookies or website embedded analytics. The information we collect will be used in the following manner: to run this Event, to verify Your eligibility, to contact You if needed, to ensure prize(s) can be sent to You, to store registered product data for as long as an ongoing relationship exists between us (eg. When You use our services such as warranty, eDM notices, etc.), and to use solely for internal market studies for developing better products and services. Your information will not be shared with third parties, except: i) to third party processors such as our internet service and website providers in order for us to execute this Event; and ii) when reporting or responding to actual or suspected breach of applicable laws to legal and regulatory authorities such as courts or the police to the extent needed.
Because of the international nature of our business, we transfer information within the MSI group, and to third parties as referenced above, in connection with the purpose set forth in these terms and conditions. Therefore, we may transfer information to countries that may have different laws and data protection compliance requirements that those applicable in the country You are located.
Further details of how Your information may be used and processed are detailed in MSI’s privacy policy, available at https://www.msi.com/page/privacy-policy.The MSI Privacy Policy constitutes a part of this Terms and Conditions, and is hereby incorporated by reference with full force and effect.

You may be asked to join MSI’s eDM emailing list to receive MSI product news or service updates. If you do not want to subscribe to this list, please do not check the subscribe or similarly titled check box.

For any material You may provide to us for this Event, including without limitations, pictures, videos, reviews, content, comment, feedback, and written material, as applicable (collectively, “Submitted Materials”), You hereby grant MSI and its worldwide affiliates and subsidiaries a perpetual, irrevocable, royalty-free, fully paid up, worldwide, sublicensable license to use, reproduce, copy, distribute, create derivative works of, publicly display and perform, and otherwise use or exploit the Submitted Materials in any legal manner reasonably determined by MSI and subject to MSI’s Privacy Policy.

You hereby represent and warrant that:

1. The information You have provided is accurate and true;
2. You have the full authority, capacity, power, and right to enroll in this Event, and make the required license grant, representation, and warranties under this Terms and Conditions;
3. You have obtained and will maintain all applicable approval, consent, permissions, licenses, and waivers necessary to grant the licenses stated above to MSI and its subsidiaries; and
4. You have complied with all applicable laws in enrolling in this Event.

You shall defend, indemnify, and hold harmless MSI, its affiliates, and successors, assigns, directors, and agents, from and against any and all liabilities, damages, judgments, costs, expenses, and fees (including reasonable attorney’s fees) resulting from any claims, investigations, litigation, or other legal or administrative action by third parties arising out of or relating to any actual or alleged breach by You of any representations, warranties, undertakings in this Terms and Conditions.

You hereby acknowledge and agree that:

MSI PRIZE(S) IS/ARE PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.

TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAWS, MSI SHALL NOT BE LIABLE TO YOU ON ACCOUNT OF ANY CLAIM (REGARDLESS OF THEORY OF LIABILITY WHETHER BASED UPON PRINCIPLES OF CONTRACT, WARRANTY, NEGLIGENCE OR OTHER TORT, BREACH OF ANY STATUTORY DUTY, OR OTHERWISE) FOR ANY SPECIAL, CONSEQUENTIAL, RELIANCE, INDIRECT, INCIDENTAL, PUNITIVE OR EXEMPLARY DAMAGES, WHETHER FORESEEABLE OR NOT, INCLUDING BUT NOT LIMITED TO LOST PROFITS, REVENUE, GOODWILL OR COST OF REPLACEMENT.

This Terms and Conditions is governed and construed by the laws of Taiwan, regardless of conflict of law principles, and all disputes arising from the Event and these terms shall be adjudicated by the Taipei District Court in Taipei, Taiwan. Any provision invalidated by a competent court shall be stricken, and the remaining Terms and Conditions will remain in full force and effect. Failure by MSI to enforce any right under this Terms and Condition shall not be deemed to be a waiver. MSI shall not be liable for any failure to perform due to circumstances beyond its reasonable control. This Terms and Conditions shall not be assigned or otherwise transferred by You to any other third party; all unauthorized assignments are null and void. This Terms and Conditions constitute the entire agreement between the parties with respect to the Event, and supersede any prior agreements, communications, representations, or discussions, oral or otherwise.
